Article 33. Social Responsibility and Training

33.1 Training Obligation and Social Responsibility

33.1.1 (A) During each phase of the Exploration Period and up to the first production in the Contract Area, the Contractor shall allocate one hundred thousand United States dollars (US$100,000) per calendar year for the training of representatives of Staatsolie or for social responsibility programs. Upon first production in the Contract Area, the Contractor shall allocate four hundred thousand United States dollars (US$400,000) of the Budget per calendar year for the training of representatives of Staatsolie or for social responsibility programs.

33.1.1 (B) The training programs must take place within one of Staatsolie’s operations. Social responsibility programs should support community-based development in areas such as environment, health, education, culture, and sports. Expenditures by the Contractor pursuant to this Sub-Article 33.1.1 are not eligible for cost recovery. The Operations Committee will determine the allocation of the Contractor’s expenditures pursuant to this Sub-Article 33.1.1.

33.1.2 If requested by Staatsolie, the Parties will jointly agree on a number of Staatsolie employees to be nominated by Staatsolie for detachment for on-the-job training or attachment in all phases of its Petroleum Operations under a mutually agreed detachment agreement. Such detachment agreement may include continuing education and short industry courses mutually identified as beneficial to the detached. Costs and other expenses, excluding salaries and benefits of such Staatsolie employees associated with such assignments, will be borne by the Contractor and shall be considered recoverable costs.

33.2 As part of the obligations in Sub-Article 33.1.1, the Contractor shall reasonably assist Staatsolie personnel to acquire knowledge and skills in all areas of the Petroleum Industry.
